These Terms and Conditions ("Terms") govern the provision of lead generation services by ConTech HQ ("ConTech HQ," "we," "us," or "our") to its clients ("Client," "you," or "your"). By engaging ConTech HQ for its services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

1. Introduction

ConTech HQ specializes in providing lead generation services primarily for the construction and technology industries. These Terms constitute a legally binding agreement between ConTech HQ and the Client, outlining the rights and obligations of both parties concerning the services provided.

2. Services

ConTech HQ agrees to provide lead generation services and display on our Featured Software and Services section of ConTechHQ.com. These services may include, but are not limited to:

• Identification and qualification of potential leads.
• Data research and compilation.
• Outreach campaigns (e.g., email, phone, social media).
• Lead nurturing activities.
• Reporting and analytics on lead performance.

ConTechHQ will provide leads to the vendor in 3 ways:

1: Click through from ConTechHQ.com

2: We send the client details to the vendor and leave the communication to the vendor and client

3: We book a demo for the client and manage the communication

Anything else that we may do in the future can be added and will be the base for future T&C.

These leads will constitute the basis for referral fees based on the negotiated in the Partnership Referral Agreement or based on the T&C in the Vendors partnership management system.

3. Client Obligations

The Client agrees to:

• Provide ConTech HQ with all necessary information, access, and materials (e.g., target audience profiles, existing CRM data, marketing collateral) required for the effective provision of services in a timely manner.
• Ensure that all information provided to ConTech HQ is accurate, complete, and does not infringe upon the rights of any third party.
• Designate a primary point of contact for communication with ConTech HQ.
• Comply with all applicable laws and regulations related to their business and the use of leads generated by ConTech HQ, including but not limited to data privacy laws (e.g., GDPR, CCPA).
• Promptly review and approve deliverables or provide feedback as requested by ConTech HQ.

4. Payment Terms

• Fees: Client agrees to pay ConTech HQ the fees.
• Invoicing: Invoices will be issued upfront and are payable within 15 days from the invoice date.
• Late Payments: A late fee of 1.5% per month may be applied to overdue amounts. ConTech HQ reserves the right to suspend services until all outstanding payments are received.
• Expenses: Any pre-approved out-of-pocket expenses incurred by ConTech HQ on behalf of the Client will be billed separately.
• Taxes: All fees are exclusive of applicable taxes, duties, or levies, which shall be borne by the Client.

5. Intellectual Property

• ConTech HQ Materials: All methodologies, software, templates, reports, and other intellectual property developed or used by ConTech HQ in providing the services shall remain the sole property of ConTech HQ.
• Client Materials: All materials provided by the Client to ConTech HQ shall remain the sole property of the Client.
• Deliverables: Upon full payment of all fees, any unique lead data and reports specifically generated for the Client as part of the agreed-upon deliverables shall be owned by the Client. ConTech HQ retains the right to use aggregated, anonymized data for internal analysis and service improvement.

6. Confidentiality

Both parties agree to keep confidential all non-public information disclosed by the other party during the course of their engagement, including but not limited to business plans, customer lists, financial information, and technical data. This obligation of confidentiality shall survive the termination of this Agreement for a period of two (2) years. This clause does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

7. Disclaimers

• No Guarantees: ConTech HQ makes no guarantees regarding the specific number or quality of leads, or the conversion rates of such leads into sales or customers. Lead generation is an inherently uncertain process, and results can vary based on numerous factors beyond ConTech HQ's control.
• "As Is" Basis: Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

8. Limitation of Liability

To the maximum extent permitted by law, ConTech HQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the services; (b) any conduct or content of any third party on the services; or (c) unauthorized access, use, or alteration of your transmissions or content.

In no event shall ConTech HQ's aggregate liability for all claims relating to the services exceed the total amount paid by the Client to ConTech HQ for the services during the [e.g., six (6) months] immediately preceding the event giving rise to the liability.

9. Indemnification

You agree to defend, indemnify, and hold harmless ConTech HQ, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the services; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your content caused damage to a third party. This defense and indemnification obligation will survive the termination of these Terms and your use of the services.

10. Termination

• By Client: Client may terminate these Terms and any SOW by providing thirty (30) days' written notice to ConTech HQ. Client shall be responsible for all fees for services rendered up to the effective date of termination.
• By ConTech HQ: ConTech HQ may terminate these Terms and any SOW immediately upon written notice if the Client breaches any material provision of these Terms (e.g., non-payment) and fails to cure such breach within ten (10) days of receiving written notice thereof.
• Effect of Termination: Upon termination, all outstanding fees become immediately due and payable. Each party shall return or destroy the other party's confidential information.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, without regard to its conflict of law principles.

12. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be resolved by [e.g., binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, or through mediation followed by litigation in the courts of British Columbia, Canada.

13. Changes to Terms

ConTech HQ reserves the right to modify or revise these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website or by notifying you directly. Your continued use of the services after such modifications constitutes your acceptance of the revised Terms.

14. Miscellaneous

• Entire Agreement: These Terms, together with any applicable SOW, constitute the entire agreement between you and ConTech HQ regarding the services.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
• Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without ConTech HQ's prior written consent. ConTech HQ may assign these Terms without restriction.

As a member of the Early Adopter Program the client will receive the following benefits:

• Placement of a tile in the corresponding category on the Software and Services section
• A profile page linked from the Software and Services section
• A link to the client website, specifically to a landing page from ConTechHQ.com
• 12 month period exempt of lead fees or click through fees
