These Terms and Conditions ("Terms") govern the provision of lead generation services by ConTech HQ ("ConTech HQ," "we," "us," or "our") to its clients ("Client," "you," or "your"). By engaging ConTech HQ for its services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.
1. Introduction
ConTech HQ specializes in providing lead generation services primarily for the construction and technology industries. These Terms constitute a legally binding agreement between ConTech HQ and the Client, outlining the rights and obligations of both parties concerning the services provided.
2. Services
ConTech HQ provides qualified sales leads to vendors operating in the construction technology industry. Leads may be delivered in one or more of the following ways:
- Click-Through Leads: Users on the ConTech HQ website click through to the vendor's website via a dedicated listing or referral page.
- Warm Lead Referrals: ConTech HQ receives a lead through its platform and shares the client’s contact information directly with the vendor for follow-up.
- Demo Bookings: ConTech HQ facilitates the scheduling of a live demo between the vendor and the prospective client, including managing communications and confirmations.
Additional lead generation and marketing services may be added in the future. These additions will be communicated to clients and governed under updated Terms and Conditions as required. - All leads delivered that purchase product from the client are subject to referral fee structures as defined in either:
3. Client Obligations
The Client agrees to:
- Provide ConTech HQ with all necessary information, access, and materials (e.g., target audience profiles, existing CRM data, marketing collateral) required for the effective provision of services in a timely manner.
- Ensure that all information provided to ConTech HQ is accurate, complete, and does not infringe upon the rights of any third party.
- Designate a primary point of contact for communication with ConTech HQ.
- Comply with all applicable laws and regulations related to their business and the use of leads generated by ConTech HQ, including but not limited to data privacy laws (e.g., GDPR, CCPA).
- Promptly review and approve deliverables or provide feedback as requested by ConTech HQ.
4. Payment Terms
- Fees: Client agrees to pay the fees of $1200 USD.
- Payment Method: All payments must be made using the Stripe payment link provided by ConTech HQ. No other payment methods will be accepted unless explicitly agreed in writing.
- Receipt: A receipt will be automatically issued by Stripe upon successful payment.
- Taxes: All fees are exclusive of applicable taxes, duties, or levies, which shall be borne by the Client.
5. Intellectual Property
- ConTech HQ Materials: All methodologies, software, templates, reports, and other intellectual property developed or used by ConTech HQ in providing the services shall remain the sole property of ConTech HQ.
- Client Materials: All materials provided by the Client to ConTech HQ shall remain the sole property of the Client.
- Deliverables: Upon full payment of all fees, any unique lead data and reports specifically generated for the Client as part of the agreed-upon deliverables shall be owned by the Client. ConTech HQ retains the right to use aggregated, anonymized data for internal analysis and service improvement.
6. Confidentiality
Both parties agree to keep confidential all non-public information disclosed by the other party during the course of their engagement, including but not limited to business plans, customer lists, financial information, and technical data. This obligation of confidentiality shall survive the termination of this Agreement for a period of [e.g., two (2) years]. This clause does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
7. Disclaimers
- No Guarantees: ConTech HQ makes no guarantees regarding the specific number or quality of leads, or the conversion rates of such leads into sales or customers. Lead generation is an inherently uncertain process, and results can vary based on numerous factors beyond ConTech HQ's control.
- "As Is" Basis: Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
8. Limitation of Liability
To the maximum extent permitted by law, ConTech HQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the services; (b) any conduct or content of any third party on the services; or (c) unauthorized access, use, or alteration of your transmissions or content. In no event shall ConTech HQ's aggregate liability for all claims relating to the services exceed the total amount paid by the Client to ConTech HQ for the services during the [e.g., six (6) months] immediately preceding the event giving rise to the liability.
9. Indemnification
You agree to defend, indemnify, and hold harmless ConTech HQ, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the services; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your content caused damage to a third party. This defense and indemnification obligation will survive the termination of these Terms and your use of the services.
10. Termination
- By Client: Client may terminate these Terms and any SOW by providing [e.g., thirty (30)] days' written notice to ConTech HQ. Client shall be responsible for all fees for services rendered up to the effective date of termination.
- By ConTech HQ: ConTech HQ may terminate these Terms and any SOW immediately upon written notice if the Client breaches any material provision of these Terms (e.g., non-payment) and fails to cure such breach within [e.g., ten (10)] days of receiving written notice thereof.
- Effect of Termination: Upon termination, all outstanding fees become immediately due and payable. Each party shall return or destroy the other party's confidential information.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, without regard to its conflict of law principles.
12. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be resolved by binding arbitration administered in the province of British Columbia.
13. Changes to Terms
ConTech HQ reserves the right to modify or revise these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website or by notifying you directly. Your continued use of the services after such modifications constitutes your acceptance of the revised Terms.
14. Miscellaneous
- Entire Agreement: These Terms, together with any applicable SOW, constitute the entire agreement between you and ConTech HQ regarding the services.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
- Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without ConTech HQ's prior written consent. ConTech HQ may assign these Terms without restriction.
